ASSOCIATE (SENIOR)

Associate (Senior) sought by Cleary Gottlieb Steen & Hamilton LLP in Washington, DC to prep legal memoranda & opinion letters, as well as draft & review sophisticated corporate & fin'l docs relating to securities law, private equity & financing transactions. Reqs J.D., LL.M. or equiv & 4 yrs of exp as an Associate or rltd occupation. Must incl 4 yrs of exp in each of the following: Advising & representing clients in connection w/ U.S. & int'l corporate & fin'l transactions, incl securities offerings, private fund formation & liability mgmt transactions; Closing corporate & private equity transactions & coord'g among client's advisors, incl other law firms, lenders, accountants & consultants; Supporting discussions to dvlp objectives & legal parameters w/in which to conduct transactions by applying expertise in the field to support such discussions; Drafting & negotiating contracts & other legal docs in connection w/ private equity, M&A, finance & other transactions; & Formulating legal strategy based on the research of relevant jurisprudence, precedents, statutory reqmts & U.S. & int'l laws & applying such research to the analysis of facts affecting client matters. Must be admitted to practice law in the State of NY. The base salary for associate positions is $225,000 - $435,000/ year, depending upon class year.
